Roles and Responsibilities for SACC Officers

The following is a more detailed breakdown of roles and responsibilities of Chamber officers, originating with the bylaws and as further specified by the Executive Committee, in order to facilitate efficient operations and institutional stability:

 

Section 2: Duties of Officers  

President: The president shall serve as the chief officer of the Chamber of Commerce and shall preside at all meetings of the membership and Board of Directors. The President shall be the chief elected officer of the Chamber and official spokesperson for the Chamber, be empowered to be the official representative of the Chamber to outside agencies, associations, corporations, deliberative bodies, the media and any and all other bodies, be authorized to disburse funds, subject to the approval of the Board, appoint all committees and serve as ex officio member of all committees, except the Nominating Committee, execute contracts on behalf of the Chamber with the approval of the Board, and perform such other duties as the Board may assign.

Specific job responsibilities:

  • Preside over meetings, including development and review of agendas, and review of draft minutes

  • Chamber spokesperson and representative

  • Disburse funds (subject to board approval)

  • Appoint committees, and serve as ex officio member on committees

  • Execute contracts

  • Call and over see Executive Committee meetings

  • Support officers in performing their duties

  • Lead goal-setting/vision/planning efforts and facilitate growth

 

Vice-President: The Vice President shall: perform the duties of the President in the absence of the President but only when sanctioned by the President or upon approval by the Board if the President is unable to execute the duties of office, serve as a member of the Board of Directors, and succeed to the Presidency if that office becomes vacant because of death, resignation or removal of the President until the Board of Directors appoint a new president.  

Specific job responsibilities:

  • Assume duties of President when President is not able (as described in detail above)

  • Support committee operations

  • If designated, a Vice President may be appointed to take on a leadership role in a specific priority areas, such as Vice President of Membership, or Vice President of Strategic Growth)

 

 

Secretary: The Secretary shall process and refer to the Board all applications for membership and notify applicants of the final action taken by the Board, maintain a current list of members in good standing, maintain a current list of members of the Standing Committees, provide notice to members of all meetings of the Chamber, prepare the minutes of all meetings and maintain a file of these minutes. maintain a file of Chamber policies, receive all petitions to the Chamber, keep on file a current copy of the Bylaws and Articles of Incorporation of the Chamber, keep the official seal of the Corporation and receive communications on behalf of the Chamber and respond as appropriate. 

Specific job responsibilities:

  • Process board applications, and notify applicants of status

  • Maintain current list of members, and members of committees

  • Send notifications of meetings

  • Prepare and circulate agendas and minutes, as approved by President

  • Keep official Chamber documents and files 

  • Receive and disburse/respond to communications as appropriate

 

Treasurer: The treasurer shall be responsible for the safeguarding of all funds received by the Chamber and for their proper disbursement. Such funds shall be kept on deposit in financial institutions, or invested in a manner approved by the Board of Directors. The Treasurer shall ensure that all Federal, state and local tax and other records and forms that are required to be filed by the Chamber are filed in a timely fashion, account for Chamber income, and prepare each year a provisional budget for the next fiscal year and submit it to the Board.

Specific job responsibilities:

  • Safeguard all funds

  • Ensure tax compliance

  • Account for Chamber income and expenses

  • Prepare provisional annual budget, and monthly budget updates

  • Oversee Financial Secretary, who serves as bookkeeper

 

 

Past President: The past Presidents shall serve as members of the Board of Directors, and perform such other duties as the President or the Executive Committee may assign.

 

Executive Director: The Board of Directors may employ an executive director. The executive director shall administer the programs of the Chamber under the direct supervision of the Board of Directors. The executive director shall be an ex-officio member of all boards, committees, and divisions of the Chamber and will be responsible to prepare an annual report of the activities and financial status of the Chamber for presentation at the annual meeting. The executive director will be responsible for the hiring of staff and for staff management, subject to regulation of the Board of Directors.
